Terms of Service

These Terms of Service ("Terms") govern your access to and use of NaviCanvas (the "Service"), provided by Kong Group LLC ("Kong," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

NaviCanvas is a web-based, AI-powered composition tool. You provide inputs — text, images, video, audio, or other material — and the Service generates a digital piece from them. Features may change, improve, or be discontinued over time.

2. Eligibility and accounts

You must be at least 18 years old, or the age of majority where you live, to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account.

3. Subscriptions, billing, and auto-renewal

The Service is offered as paid monthly subscriptions, processed by our payment provider, Stripe. By subscribing, you authorize recurring charges to your payment method at the then-current price until you cancel.

• Subscriptions renew automatically each billing period unless cancelled before the renewal date.
• You may cancel anytime from your account; cancellation takes effect at the end of the current billing period.
• We may change prices or plans; we will give notice before a change affects your renewal.
• Charges are billed in U.S. dollars. You are responsible for any applicable taxes.

Refunds and cancellation are governed by our Refund & Cancellation Policy.

4. Credits

Use of generative features is measured in credits.

• A credit is spent each time the Service generates — creating or re-generating a piece. Editing what the Service has made (changing text, swapping in your own media, adjusting layout) does not spend a credit.
• Each generation shows its credit cost before you run it. You are not charged for a generation that fails.
• Credits are included with your plan, reset at the start of each billing period, and do not roll over. Additional credits may be purchased.
• Credits are not money. They have no cash value, are not transferable, are not redeemable or refundable for cash, and may be used only for generations within the Service.

5. Your content

You retain ownership of the inputs you provide ("Your Content"). You grant Kong a non-exclusive, worldwide license to host, process, and transmit Your Content as needed to operate and provide the Service, including sending it to the third-party AI providers that power generation.

You are responsible for Your Content and confirm that you have the rights to it and that it does not violate these Terms or any law or third-party right.

6. Output

Subject to these Terms and your payment of applicable fees, you may use the pieces the Service generates for you ("Output") for your own lawful purposes. Because Output is generated by AI from your inputs, it may not be unique, may resemble output produced for others, and may contain errors. You are responsible for reviewing Output before relying on or publishing it.

7. Acceptable use

You agree not to use the Service to create, upload, or distribute content that is unlawful, infringing, deceptive, harmful, or that violates the rights or privacy of others; to attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service; or to resell or misrepresent the Service. We may suspend or terminate accounts that violate this section.

8. Intellectual property

Kong and its licensors own the Service, including its software, design, and trademarks. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; they do not transfer any ownership in the Service to you.

9. Third-party services

The Service relies on third parties, including Stripe (payment processing) and AI model providers (which process your inputs to generate Output). Your use of those features may be subject to the third party's own terms. We are not responsible for third-party services we do not control.

10. Disclaimers

The Service and Output are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the fullest extent permitted by law.

11. Limitation of liability

To the fullest extent permitted by law, Kong will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Kong's total liability arising out of or relating to the Service and these Terms will not exceed the amount you paid to Kong in the twelve (12) months before the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold Kong harmless from claims, losses, and expenses arising out of Your Content, your use of the Service, or your violation of these Terms or any law or third-party right.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if required by law. Sections that by their nature should survive termination (including Sections 4–6, 8, and 10–14) will survive.

14. Changes to the Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in the Service). Your continued use after the changes take effect constitutes acceptance.

15. Governing law and disputes

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. The state and federal courts located in New Jersey will have jurisdiction over disputes, except where applicable law provides otherwise.
